4. Payment Terms 

  • Billing: You agree to pay all charges associated with your account in accordance with the billing terms in effect at the time the fee or charge becomes payable. 

  • Payments: Payments are due on the billing cycle date. 

  • Late Payments: Late payments may incur a 5% late fee and may result in suspension or termination of services. 

  • Auto-Renewal: Subscription services auto-renew unless canceled. 

5. Service Availability 

  • Uptime: We strive to provide continuous, uninterrupted service but do not guarantee 100% uptime. 

  • Maintenance: Scheduled maintenance will be communicated in advance and may result in temporary service interruptions. 

6. Limitation of Liability 

Vengrid Network shall not be liable for any indirect, incidental, special, or consequential damages arising out of the use or inability to use our Site or services. 

7. Termination 

  • By User: You may terminate your service at any time by providing written notice to Vengrid Network. 

  • By Vengrid Network: We reserve the right to terminate or suspend your service for any violation of these terms and conditions. 

8. Changes to Terms 

We reserve the right to modify these terms and conditions at any time. Changes will be effective immediately upon posting on our Site. Your continued use of our Site and services constitutes your acceptance of the modified terms.

These terms and conditions are governed by and construed in accordance with the laws of the State of New York. 

10. Service Level Agreement (SLA) 

This SLA outlines the service levels Vengrid Network commits to providing to its customers. 

  • Service Availability: Vengrid Network aims to provide 99.9% uptime for its internet services. This excludes scheduled maintenance and unforeseen circumstances beyond our control. 

  • Response Time: Vengrid Network will respond to service-related issues within 4 hours of receiving a report. 

  • Resolution Time: Vengrid Network will resolve service-related issues within 24 hours of receiving a report, depending on the complexity of the issue. 

  • Performance Metrics: Vengrid Network will monitor and report on key performance metrics, including latency, packet loss, and throughput, to ensure service quality. 

  • Compensation: If Vengrid Network fails to meet the service levels outlined in this SLA, customers may be eligible for service credits. The amount and conditions for these credits will be detailed in the service agreement. 

11. Acceptable Use Policy (AUP) 

This AUP outlines acceptable and unacceptable use of Vengrid Network's services. 

  • Prohibited Uses: You may not use our services to engage in illegal activities, distribute malware, spam, or any other activity that disrupts the network or other users. 

  • Security: You must take reasonable measures to secure your devices and network to prevent unauthorized access. 

  • Reporting Violations: Any violations of this AUP should be reported to Vengrid Network immediately. 

12. Privacy Policy 

This Privacy Policy explains how Vengrid Network collects, uses, and protects your personal information. 

  • Information Collection: We collect information that you provide to us directly, such as when you create an account or contact us for support. 

  • Use of Information: We use your information to provide and improve our services, communicate with you, and comply with legal obligations.

  • Arbitration: If mediation fails, the dispute will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will take place in New York, and the arbitrator's decision will be final and binding.
